Wisconsin, Massachusetts, Oregon and Washington have the best co-op laws in the USA, so a visit to the state gov websites is probably worth your while. On a more abstract level, looking at the viability of coops-worker owned/controlled firms from an economic perspective, see Gregory Dow's "Governing the Firm: Workers Control in Theory and Practice" [Cambridge U Press, available for cheap in paperback]
