what power is she exerting? you say no, what happens to you? do you worry the whole time between now and the end of the semester that you might get a bad eval because you turned her down? do you think to yourself, "oh, i've wanted nothing more than to be valued for my brilliant mind all these years and all i ever get is women who want to fuck me. all that hard work i've done, meaningless! woe is me!!?"

if you say yes, then both of you are cheating and violating the school's ethics code, plain and simple. a professor shouldn't even consider such an offer, let alone try to say, "but she made the offer and tempted me, first, he's no innocent victim!" no duh!

apologies for overposting but this attempt at equivalence is such incredible bullshit.
