The problem is that across the many, many management layers, upper management is now completely divorced and distanced from reality. They no longer understand the "content" of what the company does,so how can they improve or innovate? At the same time, they are convinced that the company is successful because of them. So they do only stuff they can actually understand: merge with companies run by similar idiots or save money by firing people.
